Terms of Use

These Terms of Use (the “Terms”) govern the services provided on the website operated by VE-TRI Co., Ltd. (“VE-TRI,” “Company,” “we,” “our,” or “us”) (the “Service”). 

Any person who browses, uses the Service, or purchases products through the Service (the “User”) shall be deemed to have agreed to these Terms by accessing or using the Service. Please read these Terms carefully. 

If the User is a minor, the User must obtain the consent of a legal guardian before using the Service. 

The Company reserves the right to amend these Terms at any time due to changes in laws, social conditions, or other circumstances. The revised Terms shall become effective upon posting on the Service. Users are encouraged to review these Terms periodically. 

 

1. Copyright 

All text, images, logos, designs, and other content provided through the Service are owned by the Company or lawful rights holders and are protected under Japanese copyright law and international copyright treaties. 

Users shall not reproduce, download, distribute, republish, or otherwise infringe upon such rights without prior authorization from the Company. 

If a User violates these Terms and causes a dispute with a rights holder or third party, the User shall resolve such dispute at their own responsibility and expense. The Company shall not be liable, except where damage is attributable to the Company. 

 

2. Accuracy of Product Information 

The Company endeavors to ensure that product descriptions, images, and related information are accurate; however, the Company does not guarantee their accuracy, completeness, or timeliness. 

If, due to intentional misconduct or negligence by the Company, a purchased product materially differs from its description, the Company shall provide appropriate remedies within a reasonable scope, including return or refund. 

 

3. Operation of the Service 

The Company may modify or update the content of the Service without prior notice. 

The Company may suspend all or part of the Service without prior notice in order to maintain proper operation, or due to fire, power outage, third-party interference, or other unavoidable circumstances. 

 

4. Membership Registration 

Users may apply for membership registration through the Service. 

The Company may refuse registration if: 

  1. The applicant has previously had membership revoked due to violations of these Terms. 

  2. The application contains false information. 

  3. The applicant is a minor without legal guardian consent. 

  4. The Company otherwise determines registration to be inappropriate. 

Users must promptly update any changes to registered information through the Service. 

 

5. Suspension of Service / Revocation of Membership 

If the Company determines that a User has violated these Terms, engaged in illegal or fraudulent conduct, or acted inappropriately, the Company may suspend the Service or revoke membership without prior notice. 

 

6. Withdrawal (Account Deletion) 

Users wishing to withdraw must complete the procedures designated by the Company. 

Even after withdrawal, the Company may retain User information to the extent required by law or under the Company’s Privacy Policy. 

 

7. Account Management 

Users are responsible for properly managing their account credentials, including ID and password. 

If unauthorized use is suspected, Users must promptly notify the Company via the contact form or other designated method. 

 

8. Handling of User Information 

The Company manages User information in accordance with its Privacy Policy. 

While the Company implements security measures such as encryption, Users acknowledge that complete elimination of risks associated with internet communications cannot be guaranteed. 

 

9. Prohibited Conduct 

Users shall not: 

  1. Submit false registration information. 

  2. Fraudulently use credit cards or payment methods. 

  3. Use unauthorized or unlawfully obtained accounts. 

  4. Purchase products for resale or commercial purposes without prior approval. 

  5. Cause damage, inconvenience, or disadvantage to other Users, third parties, or the Company. 

  6. Interfere with operation of the Service. 

  7. Engage in any other conduct deemed inappropriate by the Company. 

 

10. Trademarks 

All trademarks and logos displayed on the Service are the property of the Company or third parties. 

They may not be used in any manner that damages the reputation or credibility of the Company. 

 

11. Third-Party Websites 

The Company assumes no responsibility for the content of third-party websites linked from the Service. 

The Company shall not be liable for any damages arising from access to such websites. 

 

12. Disclaimer of Liability 

Except in cases of willful misconduct or gross negligence by the Company, the Company shall not be liable for any damages or losses incurred by Users, regardless of the legal basis of the claim. 

In cases of gross negligence, the Company’s liability shall be limited to the amount paid by the User for the purchased product. 

 

13. Formation of Sales Contract 

When a User applies to purchase a product through the Service, the User shall follow the prescribed procedures. 

A sales contract shall be formed when the Company sends electronic notice accepting the order. 

 

14. Transfer of Ownership 

Ownership of purchased products shall transfer to the User when the Company ships the product after formation of the sales contract. 

If payment has not been completed, the Company may withhold shipment. 

 

15. Returns, Exchanges, and Cancellation 

Products purchased through the Service may not be returned or exchanged except in cases of defects or issues attributable to the Company. 

Details regarding return conditions, procedures, and deadlines shall follow the provisions stated under “Specified Commercial Transactions Act Disclosure.” 

Orders may not be canceled after acceptance and formation of the sales contract. 

However, cancellation may be accepted prior to shipment if specifically approved by the Company. 

 

16. Termination of Contract (Order Cancellation by the Company) 

The Company may cancel an order or terminate a sales contract after acceptance if: 

  1. The User violates these Terms. 

  2. Credit authorization is declined. 

  3. The User fails to fulfill payment obligations. 

  4. False registration information is discovered. 

  5. Delivery is impossible due to unknown address or prolonged inability to receive goods. 

  6. The product becomes out of stock with no foreseeable restocking. 

  7. Other unavoidable circumstances arise. 

 

17. Delivery Delays 

Estimated delivery times are approximate. 

Delivery may be delayed due to natural disasters, congestion, social conditions, or unforeseen events. 

The Company shall not be liable for damages resulting from delivery delays unless caused by intentional misconduct or negligence by the Company. 

 

18. Exclusion of Anti-Social Forces 

Users represent and warrant that they are not affiliated with: 

  1. Organized crime groups 

  2. Members of organized crime groups 

  3. Affiliates of organized crime groups 

  4. Companies related to organized crime groups 

  5. Corporate racketeers 

  6. Groups advocating unlawful social movements 

  7. Any similar entities 

If a User is found to fall under any of the above categories, the Company may revoke membership or terminate contracts without notice. 

The Company shall not be liable for any damages arising from such measures. 

If the User causes damage to the Company by violating this clause, the User shall compensate the Company. 

 

19. Governing Law 

These Terms shall be governed by and construed in accordance with the laws of Japan. 

 

20. Jurisdiction 

Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.
